Job Description Wise F&I's Corporate Counsel is an attorney responsible for ensuring that the company's procedures, processes, and contracts (B2B and B2C) are all legally binding and acceptable. Duties include reviewing and editing contracts, advising company's management team on legal matters, and conducting negotiations. In addition to supporting the company's human resource team, the Corporate Counsel reviews, researches, and prepares opinions on a wide variety of legal issues; in addition to, preparing drafts, reviews, policies, bylaws, and other legal documents. Responsibilities also include managing and coordinating the proper response on all consumer contract-related legal matters, subpoenas, litigation and/or regulatory complaints. Wise F&I's Corporate Counsel is based in St. Louis, MO and will work directly with Wise F&I's executive management on a variety of corporate legal matters. DUTIES AND RESPONSIBILITIES Prepare, review and/or negotiate company agreements, requests for proposals and other legal documents. Consult with company's Product Development team on proper development of consumer contract form(s) and supporting materials across all product lines. Manage and coordinate the proper response on all consumer contract-related legal matters, subpoenas, litigation and/or regulatory complaints. Provide legal support to Company's human resource team on matters including but not limited to severance, non-compete, non-disclosure, employee handbook or employee policy development or any employee matter needing legal support. Manage company's trademark and intellectual property initiatives including working with outside counsel on trademark and patent filings or renewals. Support senior executives with legal research, analysis and opinion(s) so as to properly articulate risks and develop associated legal strategy. Help department managers to implement processes, procedures, and systems to promote risk avoidance and prevent litigation. Develop and/or manage the organization's policies on industry-specific issues, corporate governance or regulatory affairs. Consult with executive management, designated third-party advisors, tax experts, accountants, auditors and marketing staff as requested or needed. Coordinate with outside counsel to assure they represent the company's best interests. DESIRED QUALIFICATIONS J.D. from an accredited law school, along with an active law license. 4-9 years legal experience in the insurance, finance or a related industry. Experience with contract, employment, and IP law. Strong communication and research skills. Excellent observation and critical thinking abilities. Ability to identify and balance priorities.
