Position Description & Expectations Position Title: Associate General Counsel Immediate Supervisor's Position Title: General Counsel & Director of Government Relations FLSA Status: Exempt Pay Band: Grade 14, starting at approx. $93,189.39. PERA eligible position. Job Summary: The position is a full-time, telecommuting position. Occasional, planned travel to the office for key meetings, professional development or other commitments as necessary. Reporting to the General Counsel & Director of Government Relations, this position manages the Legal Department activities; provides day-to-day leadership that supports Sourcewell’s strategic and tactical legal initiatives; provides effective legal advice, counsel, and support to the organization; oversees the development and administration of shared legal services; and provides support to Sourcewell’s General Counsel & Director of Government Relations, as required. This includes providing strategic input on departmental budgets and individual performance metrics aligned with Sourcewell’s strategic framework and goals. In addition to those mentioned in the job description, preferred qualifications include but are not limited to: Private practice experience representing or advising public sector entities; experience in school law or educational issues; experience designing, implementing or administering public programs. Essential Duties and Responsibilities 1. Provides legal services generally understood within the field of government law to fall within the category of “general counsel” work, including but not limited to: a. Negotiates, prepares, reviews, approves, and interprets contracts, Requests for Proposals, and other agreements, forms and official documents related to Sourcewell programs and ensures that all documents comply with applicable federal and state laws, rules, and regulations. b. Oversees the formulation and implementation of short-term and long-term goals and plans to improve the efficiency and efficacy of the legal representation Sourcewell receives. c. May act for the General Counsel and Director of Government Relations to serve as Sourcewell’s spokesperson on matters pertaining to legal representation in coordination with the Executive Director/CEO and Senior Leadership Team on matters pertaining to Sourcewell’s organizational legal representation and the administration of the Legal Department, subject to the general oversight of the General Counsel and Director of Government Relations. d. Coordinates and initiates, as appropriate, inter-office projects, programs, and activities, subject to the general oversight of the General Counsel and Director of Government Relations e. Manages various litigation and adversarial proceedings as assigned by General Counsel and Director of Government Relations f. Maintains appropriate confidentiality in connection with the legal work of the Legal Department and oversees contractors, consultants, experts and others in addressing the legal needs of Sourcewell, subject to the general oversight of the General Counsel and Director of Government Relations g. Assists in the review and drafting of legal department procedures h. Develops legal responses to inquiries as necessary for Sourcewell i. Works closely with other Sourcewell departmental managers to fulfill legal needs, including, but not limited to i. Provides legal advice specific to departmental issues ii. Works with the Procurement Manager or designee to implement post-audit recommendations iii. Reviewing legal exceptions to procurement contracts j. Ensures Sourcewell’s compliance with applicable laws, regulations, ordinances and statutes k. Brings legal issues and concerns to the General Counsel and Director of Government Relations and assists in developing responses l. Identifies and facilitates changes to existing policies or practices that may compromise the achievement of Sourcewell’s mission, vision, or strategic goals with regard to cooperative purchasing m. Translates legal information and requirements into meaningful client advice concerning business transactions, claims liability, legal rights and obligations in various aspects of organizational governance, employment, collections, education, insurance, intellectual property, contract law and state and local regulations n. Interprets and implements applicable state and federal laws, rules and policies and provides opinions regarding Sourcewell compliance with said rules, laws and policies, as well as how Sourcewell’s statutory requirements relate to statutes outside of the State of Minnesota. o. Occasionally serves as an alternate of the Sourcewell Management Council, as needed and requested, in the absence of the General Counsel and Director of Government Relations. p. Studies statutes, decisions, regulations, and ordinances of quasi-judicial bodies q. Interprets and prepares memoranda and correspondence relating to laws, legal codes, precedents, government regulations, executive orders, agency rules and the democratic political process locally, nationally and internationally r. Attends meetings and other Sourcewell events and meetings (locally, nationally and internationally) s. Provides guidance and advice on open meeting law, data practices and records retention issues t. Maintain legal file management system u. Assists in the review and drafting of Board Policies and resolutions 2. Effective utilization and development of staff a. Provides input on staff projections to departmental Director during annually recurring budget development cycle. b. Provides support for individual metrics, measures and goals for departmental staff based on position with the department and aligned with departmental metrics, measures and goals. c. Supports professional growth plans for departmental staff, encouraging staff to pursue appropriate continuing education and certification. 3. Work is varied and complex, requiring considerable discretion, and regularly work with confidential information including employee relations data4. Other duties as assigned Core Competencies 1. Active licensed to practice law in the State of Minnesota2. Bachelor’s Degree in a related field3. Juris Doctor from an accredited law school4. A minimum of five years of experience as a practicing attorney5. Demonstrated experience in independent decision making6. Ability to translate complex legal issues for a lay audience7. Valid MN Driver’s License Preferred Qualifications 1. Ten or more years of experience as a practicing attorney2. In-house legal experience3. Public sector experience4.
